TERMS OF SERVICE

Welcome to Ileria. These Terms of Service (“Terms”) govern your use of the Ileria CPR Trainer mobile application and related services (collectively, the “Service”). By creating an account or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Ileria app, you agree to comply with and be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Eligibility

• You must be at least 18 years old to use this Service
• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must not share your account with others

3. Account Responsibilities

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must keep your contact information up to date
• You must not create multiple accounts for the same person

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Share false, misleading, or fraudulent training data
• Attempt to access other users’ accounts or data
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service
• Harass, abuse, or harm instructors or other users
• Reverse engineer, decompile, or disassemble the app
• Remove or modify any copyright or proprietary notices

5. Ileria CPR Feedback Device – Important Safety Information

CRITICAL SAFETY NOTICE:

• The Ileria CPR Feedback Device is designed EXCLUSIVELY for training on CPR manikins
• DO NOT use the device on humans or animals
• The device is a training tool, not a medical device for emergency use
• Our current product is for educational purposes only
• A future medical device for use on humans is under development but not yet available

6. Training Data and Performance Metrics

• Training data collected during your sessions is used to provide feedback and track progress
• If you are assigned to an instructor, your training data will be shared with them for educational purposes
• You retain ownership of your personal data but grant us a license to use it to provide the Service
• We do not guarantee the accuracy of performance metrics and they should not be used as the sole basis for medical decisions

7. AI Coaching Assistant (Ileria AI Chat)

• The Service includes an AI-powered coaching assistant (“Ileria AI Chat”) that interacts with you by text and voice to provide feedback on your training sessions
• In accordance with Article 50 of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), you are informed, at the start of your first interaction, that you are communicating with an artificial intelligence system and not a human instructor
• Responses from Ileria AI Chat are generated automatically and may be incomplete, inaccurate, or contextually inappropriate; they are provided for educational coaching purposes only
• Ileria AI Chat does not provide medical advice and must not be relied upon as the sole basis for any medical, clinical, or emergency decision
• Ileria does not issue certificates or make pass/fail determinations through a solely automated process; a qualified human instructor retains full authority over certification decisions, as described in our Privacy Policy
• AI Chat is not an evaluation or employment-decision tool. Ileria AI Chat is provided solely to help you understand and better comply with CPR training guidelines. It does not generate, and may not be used as, a performance evaluation, certification, or employment-related decision criterion. All scoring metrics (depth, rate, release, CCF, and overall score) displayed in the app are produced exclusively by fixed, disclosed mathematical formulas, independent of any AI system
• If your organization uses Ileria’s dashboard to review or evaluate the training performance of its own staff or members, your organization acknowledges and agrees that: (i) only the algorithmic, formula-based scores may be used as an evaluation criterion; (ii) Ileria AI Chat outputs may not be used, directly or indirectly, as a basis for performance evaluation, certification, or any employment-related decision; and (iii) your organization remains solely responsible for how it interprets and acts upon training data in connection with its own personnel or members

8. Instructor-Trainee Relationship

• Instructors can view training data for trainees assigned to them
• Trainees can request to be unassigned from an instructor
• Instructors must use trainee data only for educational purposes
• Instructors must not share trainee data with unauthorized third parties

9. Intellectual Property

• The Ileria app, including all content, features, and functionality, is owned by Ileria Oy
• Our trademarks, logos, and service marks are the property of Ileria Oy
• You may not use our intellectual property without our prior written consent
• Our training algorithms, feedback systems, and analytics are proprietary to Ileria Oy

10. Disclaimer of Warranties

IMPORTANT: The Ileria app is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:

• Accuracy or reliability of training feedback
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Non-infringement of third-party rights

The Ileria app is a training tool and does not replace professional CPR certification or medical training. The CPR feedback device must only be used on manikins for training purposes.

11. Limitation of Liability

To the maximum extent permitted by law, Ileria Oy shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages arising from reliance on training data, performance metrics, or AI coaching feedback
• Damages arising from misuse of the training device

Our total liability shall not exceed the amount you paid for the Service in the past 12 months, or €100, whichever is greater. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded or limited under the mandatory laws applicable to you.

12. Indemnification

You agree to indemnify and hold harmless Ileria Oy, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your use or misuse of the Service
• Your misuse of the CPR feedback device

13. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or other users
• Non-payment of fees (if applicable)

Upon termination:

• Your right to use the Service will immediately cease
• You may request deletion of your data within 30 days
• We may retain certain data as required by law or for legitimate business purposes

14. Consumer Right of Withdrawal and Statutory Rights (EU/EEA Users)

• If you are a consumer residing in the European Union or European Economic Area, you have the right to withdraw from an online purchase of a subscription or plan within 14 days of the purchase, without giving any reason, in accordance with Directive 2011/83/EU, unless an applicable exception applies (for example, where performance of the Service has begun with your prior express consent and acknowledgment that you thereby lose your right of withdrawal)
• To exercise this right, contact us at [email protected] within the 14-day period
• Nothing in these Terms limits or excludes any statutory right that you have under the mandatory consumer protection laws of your country of residence and that cannot be waived by contract

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through:

• In-app notifications
• Email to your registered address
• Notice on our website

Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. If you are a consumer, this choice of law does not deprive you of the protection afforded to you by mandatory provisions of the law of your country of habitual residence.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Good faith negotiations between the parties
• If negotiations fail, binding arbitration in Tampere, Finland
• The arbitration shall be conducted in English or Finnish

This arbitration clause does not affect the right of consumers residing in the EU/EEA to bring proceedings before the competent courts of their country of residence, or to use the European Commission’s Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr), to the extent required by mandatory consumer protection law.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ileria Oy regarding the use of the Service.

By using the Ileria app, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
